Guidelines on Overseas Competition Behavior and Compliance Construction in the Automobile Industry

chapter I General provisions

Article 1 These guidelines are formulated in order to promote the healthy and orderly international development of China's automobile industry, guide automobile industry enterprises to standardize overseas competition behavior, strengthen compliance construction, improve transnational operation capabilities and international influence, and promote the development and progress of the global automobile industry.

Article 2 The production and operation behaviors such as market competition occurring overseas by China automobile industry enterprises engaged in international production and operation activities shall be implemented with reference to these Guidelines.

Article 3 The overseas production and operation of enterprises in the automobile industry shall follow the basic principles of legal compliance, fair competition, mutual benefit and win-win results, strictly abide by my country's relevant laws, regulations and policies on foreign investment, foreign economic cooperation, foreign trade, etc., and actively implement the "Guidelines for the Work of Overseas Enterprises","Guidelines for Overseas Integrity and Compliance of Enterprises", and "Guidelines for Overseas Anti-monopoly Compliance of Enterprises" and other requirements.

Chapter 2 Standardize competition behavior in overseas markets

Article 4 Enterprises may establish a cost-based pricing strategy oriented by international market supply and demand, conduct price compliance management of their own parts, complete vehicles and other products in accordance with laws and regulations, and not disrupt market competition order in order to gain unfair competitive advantages.

Article 5 When formulating the recommended retail price of a complete vehicle in the overseas market, an enterprise shall set clear price gradients for different vehicle configurations of the enterprise in accordance with the laws and regulations, market principles and business practices of the host country (region) to avoid multiple frequency and large price fluctuations affect the interests of overseas consumers and brand image.

Article 6 Enterprises may reasonably determine price differences between countries (regions) based on the actual conditions of different countries (regions) and comprehensively consider factors such as the local market environment, tax structure, and logistics costs to avoid chaotic sales order.

Article 7 Enterprises shall respect the independent pricing rights of dealers and agents in the host country (region) in accordance with laws and regulations, and conduct compliance supervision of dealers and agents. When providing sales incentives to overseas dealers, agents, etc., clear and reasonable agreements should be made in accordance with regulations and the agreed obligations should be fully fulfilled.

Article 8 When enterprises sell goods or provide services overseas, they shall make transparent and clear price tags in accordance with laws and regulations, and shall not violate regulations to arbitrarily increase prices in addition to the price tags or charge unspecified fees.

Article 9 When enterprises carry out promotional activities such as prize-winning sales, free trials, discounts and price reductions, gifts, and auto financial discounts overseas, they shall abide by laws and regulations, comply with local business practices and cultural customs, and effectively fulfill the contractual agreements.

Article 10 When enterprises carry out brand display and promotion activities overseas, they shall disclose relevant information truthfully and completely in accordance with relevant regulations of the host country (region), do not make false publicity, do not deceive or mislead consumers, and maintain the image of China's automobile brand.

Chapter 3 Improving overseas localized compliance business capabilities

Article 11 Enterprises shall carry out production and operation activities according to local conditions in accordance with my country's foreign investment cooperation policy guidance and the actual situation of the host country (region), and ensure compliance in the entire process of inspection, negotiation, construction, production, pricing, procurement, services, etc. Enterprises should strengthen the evaluation of products going abroad to avoid products that do not meet the needs of the target market and the use environment going abroad.

Article 12 Enterprises shall strengthen risk research and judgment on the political situation, macroeconomics, social security, automobile industry and other aspects of the host country (region), improve emergency response plans for production safety accidents, regularly investigate potential risks, and improve the level of overseas production safety management.

Article 13 Enterprises shall establish and improve the overseas market quality management system and after-sales service system for automobile-related products, do a good job in market research and adaptive development, improve service levels, and better meet the needs of overseas markets.

Article 14 Enterprises shall abide by relevant labor regulations of the host country (region), recruit employees in accordance with the principles of equal opportunity and fair treatment, attach importance to vocational skills training such as automobile production and manufacturing, sales promotion, smooth the career development channels for employees, and improve the protection mechanism for employees 'rights and interests.

Article 15 Enterprises shall take necessary measures to ensure compliance with various data processing activities such as the collection, use, protection and cross-border transmission of data related to the Internet of Vehicles and autonomous driving, abide by relevant laws and regulations on the processing of personal information, and protect consumers 'personal privacy.

Article 16 Enterprises shall abide by the laws and regulations of our country and the host country (region) on intellectual property protection, strengthen the overseas market layout and protection of independent intellectual property rights related to the automobile industry, and prevent infringement risks. Standardize the use of intellectual property rights in fields such as design, parts production, and communication technology, and properly respond to intellectual property disputes.

Article 17 Enterprises should strengthen overseas anti-monopoly compliance construction, effectively identify, evaluate and control various anti-monopoly legal risks, abide by the law in good faith, and compete fairly.

Article 18 Enterprises shall promote the green and low-carbon transformation of the supply chain and actively fulfill their environmental protection responsibilities in accordance with the requirements of the United Nations Framework Convention on Climate Change, host country (region) climate regulations and automobile industry emission reduction targets.

Chapter 4 Supplementary Provisions

Article 19 These Guidelines are general guidelines for overseas competition behavior and compliance construction of enterprises in the automobile industry for reference by enterprises. In specific practice, enterprises should pay close attention to the latest laws, regulations and policy requirements of our country, host countries (regions) and relevant international organizations, and adjust and improve their own work based on actual conditions.

Article 20 These Guidelines shall be interpreted by the Ministry of Commerce, together with the Ministry of Industry and Information Technology, and the State Administration for Market Regulation.
